Author Terms and Conditions

This Author Payment Agreement (“Agreement”) sets forth the terms and conditions for payments made by Minimalistik Ltd (“FramerThings,” “we,” “us,” or “our”) to sellers, creators, or authors (“Author,” “you,” or “your”) who list and sell digital products or services on FramerThings.

By registering as an Author and receiving payments from sales on FramerThings, you agree to the terms set forth in this Agreement.


1. Payment Structure

1.1. Revenue Share & Commission

1.1.1. Revenue Split: Authors will receive 70% of the total sale price of each product they sell on FramerThings. FramerThings will retain the remaining 30% as commission.
1.1.2. Transaction Fees: Any bank fees, conversion charges, or other transfer-related costs will be borne by the Author, not FramerThings.
1.1.3. Currency: All payments will be made in Dollars (USD), unless otherwise agreed. Exchange rate fees (if applicable) are the responsibility of the Author.

1.2. Payout Schedule

1.2.1. Payment Frequency: Payouts are processed once per month, on or around the 1st of each month.
1.2.2. Minimum Payout Threshold: Authors must accumulate at least $50 in earnings before receiving a payout. If an Author’s balance is below $50 at the end of the month, their earnings will roll over to the next payout cycle.

1.3. Payment Method – Bank Transfer Only

1.3.1. Bank Transfer Requirement:

  • All payouts to Authors will be made exclusively via bank transfer to the bank account provided by the Author.
  • FramerThings does not process payouts through PayPal, Stripe, or any other payment methods.

1.3.2. Author’s Responsibility to Provide Accurate Banking Information:

  • Authors must ensure that they provide correct and up-to-date bank details (including account number, IBAN, SWIFT/BIC code if applicable).
  • FramerThings is not responsible for failed payments or lost funds due to incorrect bank details provided by the Author.

1.3.3. Processing Time for Bank Transfers:

  • Transfers typically take 2-10 business days to reflect in the Author’s account, depending on the bank’s processing time.
  • Delays may occur due to bank holidays, security checks, or compliance requirements.

2. Author’s Tax Responsibilities

2.1. Tax Liabilities

2.1.1. Independent Tax Obligations: Authors are solely responsible for determining and paying any taxes applicable to their earnings, including but not limited to:

  • Income tax
  • Self-employment tax
  • VAT (if applicable)
  • Sales tax or digital product taxes applicable in their jurisdiction

2.1.2. VAT Responsibilities:

(a) UK VAT-Registered Sellers: If you are VAT-registered in the UK, you are responsible for collecting and remitting VAT on sales in accordance with UK tax regulations.
(b) Non-UK Sellers: If you are selling from outside the UK, you must comply with the tax laws of your country and determine whether VAT, GST, or other taxes apply.
(c) Marketplace VAT Collection (if applicable): If FramerThings is required by law to collect VAT on behalf of sellers, this will be automatically applied at checkout.

2.1.3. No Tax Withholding by FramerThings:

  • Minimalistik Ltd does not withhold or deduct any taxes from your earnings.
  • You are responsible for reporting and paying taxes on income received from FramerThings in your respective jurisdiction.
  • FramerThings is not liable for any unpaid tax obligations or penalties imposed by tax authorities on Authors.

3. Payment Processing and Fees

3.1. Bank Transfer Fees

3.1.1. Any fees charged by banks for receiving or processing transfers (e.g., international transfer fees, currency conversion fees) are the responsibility of the Author.
3.1.2. FramerThings is not responsible for any deductions made by banks during the transfer process.

3.2. Chargebacks and Refunds

3.2.1. If a customer requests a refund or initiates a chargeback, the following policies apply:
(a) Approved Refunds: If FramerThings approves a refund to a Buyer, the refunded amount will be deducted from the Author’s earnings.
(b) Chargebacks: If a chargeback is filed against an Author’s sale, the full amount (including fees) may be deducted from the Author’s future payouts.
(c) Dispute Handling: If an Author disputes a chargeback, FramerThings will assist in providing transaction details, but the final decision rests with the payment processor.

3.3. Prohibited URL Practices

3.3.1. Authors may include affiliate links in product listings or external URLs only if the linked product is a premium (paid-for) product.
3.3.2. Affiliate links pointing to free products, free sign-ups, or services that provide rewards or commissions without a purchase are not permitted.
3.3.3. Submissions that include affiliate links in violation of this policy may be rejected, and repeat violations may result in account suspension or removal from the marketplace.


4. Account Suspension and Payment Holds

4.1. Fraud and Policy Violations

4.1.1. FramerThings reserves the right to suspend payments if:
(a) Fraudulent activity is suspected.
(b) An Author violates FramerThings’ Terms of Use, Acceptable Use Policy, or Seller Agreement.
(c) A significant number of chargebacks or refund requests are made against an Author.

4.2. Payment Holds

4.2.1. FramerThings may place a temporary hold on an Author’s payments for:
(a) Fraud review.
(b) Risk assessment.
(c) Dispute resolution.
(d) Compliance with applicable laws.


5. Account Termination and Payouts

5.1. Voluntary Termination

5.1.1. Authors may terminate their account at any time by providing notice to FramerThings.
5.1.2. Any remaining earnings exceeding the minimum payout threshold will be paid out during the next scheduled payout cycle.

5.2. Involuntary Termination

5.2.1. FramerThings may suspend or terminate an Author’s account if they:
(a) Engage in fraud, abuse, or illegal activities.
(b) Violate any FramerThings policies.
(c) Fail to comply with tax obligations.

5.2.2. If an account is terminated for cause, pending payments may be withheld at FramerThings’ discretion.


6. No Employment or Agency Relationship

6.1. Independent Contractors:

  • Authors are independent contractors and not employees, agents, or representatives of Minimalistik Ltd.
  • This Agreement does not create any employment, partnership, joint venture, or agency relationship between Authors and FramerThings.
  • Authors have no authority to act on behalf of FramerThings or Minimalistik Ltd.

7. Governing Law and Dispute Resolution

7.1. Governing Law

7.1.1. This Agreement is governed by the laws of England and Wales.

7.2. Jurisdiction

7.2.1. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.


8. Amendments and Updates

8.1. Changes to This Agreement:

  • FramerThings may update this Agreement at any time.
  • Any significant changes will be communicated to Authors via email or the Marketplace dashboard.
  • Continued use of FramerThings as a Seller after changes take effect constitutes acceptance of the updated Agreement.
