3. Use of the Marketplace

3.1. Service Description: FramerThings enables buyers (“Buyers”) to purchase digital or physical goods and/or services from sellers (“Sellers”). We facilitate transactions but are not a party to the contracts formed between Buyers and Sellers.
3.2. Prohibited Activities: You agree not to (a) violate any laws or regulations; (b) post or upload content that infringes third-party intellectual property rights; (c) engage in fraudulent or misleading activities; or (d) interfere with the Marketplace’s operation or security.
3.3. Fees and Payments: We may charge transaction or listing fees. All fees will be clearly disclosed. Buyers and Sellers are responsible for any additional applicable charges, including taxes and VAT (where applicable).

4. Intellectual Property

4.1. Ownership: The Marketplace and its original content, features, and functionality are owned by Minimalistik Ltd unless otherwise indicated.
4.2. User-Generated Content: By posting content on FramerThings, you grant us a worldwide, non-exclusive, royalty-free license to use, display, and distribute such content for the operation of the Marketplace.

5. Limitation of Liability & Disclaimer

2. Seller Agreement

This Seller Agreement (“Agreement”) is between Minimalistik Ltd (the “Marketplace,” “we,” “us,” or “our”) and you (“Seller,” “you,” or “your”) governing your participation as a seller on FramerThings.

1. Acceptance of Terms

By registering as a Seller and listing products or services for sale on FramerThings, you accept and agree to be bound by this Agreement, the FramerThings Terms of Use, and all policies referenced herein.

2. Seller Obligations

2.1. Account Information: You must provide accurate, complete, and up-to-date information about yourself and your business.
2.2. Compliance: You agree to comply with all applicable laws, regulations, and Marketplace policies regarding the listing, sale, and marketing of products.
2.3. Product Quality and Description: You warrant that any listings you post accurately describe the products and that you have the rights to sell such products.
2.4. Pricing and Fees: You are solely responsible for setting the price of your products. You agree that we may deduct any applicable Marketplace fees and commissions before remitting the balance to you.
2.5. Fulfillment and Customer Service: You are responsible for delivering products (digital or physical) and for addressing any customer inquiries, returns, or disputes related to your listings.

3. Intellectual Property

3.1. Seller IP Warranty: You represent that you own or have the necessary licenses or permissions to sell and distribute the products you list. You indemnify and hold Minimalistik Ltd harmless against any IP infringement claims related to your products.
3.2. License to Marketplace: You grant us a limited, non-exclusive, royalty-free license to display, promote, and distribute your product listings on FramerThings.

4. Payments and Commissions

4.1. Payment Processing: We use Stripe and Wise to facilitate payments. Sellers must comply with the Payment Processor’s terms.
4.2. Payout Schedule: Subject to any hold periods or dispute resolutions, we will remit proceeds (minus our fees and commissions) to the account you specify on a monthly basis.
4.3. Taxes and VAT: You are responsible for determining whether you are liable for VAT or other taxes and for remitting such taxes to the appropriate authorities.

5. Term and Termination

5.1. Term: This Agreement becomes effective upon your acceptance and continues until terminated in accordance with its terms.
5.2. Termination: Either party may terminate this Agreement at any time upon written notice to the other. We may immediately suspend or terminate your seller account if you breach this Agreement or our policies.
5.3. Consequences of Termination: Upon termination, your listings will be removed from FramerThings. Any outstanding obligations (including fees owed) will survive.

6. Disputes and Liability

6.1. Buyer Disputes: You agree to make good-faith efforts to resolve disputes directly with Buyers. We may, at our discretion, facilitate such resolution but bear no responsibility for the outcome.
6.2. Liability Limitation: The limitation of liability provisions in the [FramerThings Terms of Use] apply to your relationship with us under this Agreement.

7. Governing Law and Jurisdiction

7.1. Governing Law: This Agreement is governed by the laws of England and Wales.
